These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "user") and DropIn Technologies Inc. ("DropIn", "we", "us", or "our"), concerning your access to and use of the DropIn website, mobile applications, extensions, APIs, widgets, emails, or other media formats now known or hereafter developed (collectively, the "Service"). Please read these Terms carefully before using the Service. By using or accessing the Service, you signify your agreement to these Terms. If you do not agree to all of these Terms, you may not access or use the Service.
Eligibility and Registration
You must be at least 18 years old to access or use the Service. If you are under 18 years old, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms.
In order to access certain features, you may be required to register for an account. When you create an account, you agree to: (a) provide accurate, current and complete account information; (b) maintain and promptly update your information to keep it accurate, current and complete; (c) maintain the security of your login credentials and restrict access to your account; (d) take full responsibility for any activity that occurs through the use of your account; and (e) immediately notify Dropin if you discover or suspect any unauthorized use of your account. We reserve the right to terminate accounts that are inactive for an extended period of time.

We reserve the right to modify these Terms at any time without individual notice to you. Any changes will be posted on this page or within the Service. Your continued use of the Service after any modification constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service immediately.
Description of Service
The Service includes DropIn’s website, mobile applications, browser extensions, APIs, widgets and other interactive features. The Service allows users to access study aids, materials and features to assist with coursework and assignments. Additional services and features may be made available through paid subscriptions or purchases.
Content You Provide
You retain ownership of any content you submit, post, display or otherwise make available (collectively, "post") through the Service. However, by posting content, you grant DropIn a worldwide, royalty-free, irrevocable, perpetual, non-exclusive license to use, copy, modify, distribute, translate, create derivative works, publicly display, and otherwise exploit in any manner such content for any business purpose related to providing and improving the Service.
You represent and warrant, you have all the rights necessary, for you to post the content and that all content you provide complies with our Acceptable Use Policy outlined below.
Acceptable Use Policy
You agree not to misuse the Service or assist others in doing so. Examples of misuse include:
- Posting, transmitting, distributing or storing any content that is illegal, abusive, harmful, infringing, defamatory, or offensive;
- Impersonating others or providing inaccurate information;
- Attempting to bypass any access restrictions or security measures;
- Using automated means such as bots, scripts or scrapers to collect data or interact with the Service;
- Interfering with the proper working of the Service;
- Sharing content from the Service that contains exam questions, answers, or materials without permission;
- Using the Service for any illegal or unauthorized purpose.
If we believe you have violated our Acceptable Use Policy, we reserve the right to suspend or terminate your account and prohibit access to the Service.
Purchases, Subscriptions and Payments
Some aspects of the Service may require payment of fees such as one-time purchases or recurring subscriptions. If you elect to make a purchase or subscription, you agree to the pricing, payment and billing terms applicable to that service. DropIn may change its prices and billing methods at any time. All fees are non-refundable.
You are responsible for paying all applicable taxes. If your payment fails, your access may be disabled until we receive valid payment. You are fully responsible and liable for all activities conducted through your account, including any unpaid amounts.
Third Party Services
The Service may contain links to or integration with third party websites, platforms, apps or services ("Third Party Services"). We do not control or endorse any Third Party Services. You agree that Dropin is not responsible or liable for the availability, content, policies or practices of any Third Party Services. Accessing or using Third Party Services is done entirely at your own risk.
Ownership and Proprietary Rights
The Service is owned and operated by DropIn. The visual interfaces, graphics, design, compilation, information, data, computer code, products, software, services, and all other elements of the Service (collectively, the “Materials”) are protected by intellectual property and other laws. As between you and DropIn, all Materials included in the Service are the property of DropIn or our third party licensors. Except as expressly authorized by Dropin, you may not make use of the Materials. DropIn reserves all rights to the Materials not granted expressly in these Terms.
You may choose to submit comments, bug reports, ideas or other feedback about the Service, including without limitation about how to improve the Service (collectively, “Feedback”). By submitting any Feedback, you agree that DropIn is free to use such Feedback at its discretion and without additional compensation to you, and to disclose such Feedback to third parties (whether on a nonconfidential basis or otherwise). You hereby grant DropIn an irrevocable, nonexclusive, worldwide license under all rights necessary to incorporate and use your Feedback for any purpose.
Disclaimers and Limitation of Liability
THE SERVICE AND ANY INFORMATION, CONTENT OR MATERIALS ON OR ACCESSED THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. DROPIN SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
DROPIN DOES NOT GUARANTEE THE SERVICE WILL BE SECURE, TIMELY, UNINTERRUPTED, ERROR-FREE OR VIRUS-FREE, NOR DOES IT GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SERVICE. YOU ACKNOWLEDGE THAT INFORMATION TRANSMITTED OVER THE INTERNET CANNOT BE GUARANTEED TO BE 100% SECURE.
TO THE FULLEST EXTENT PERMITTED BY LAW, DROPIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF, INABILITY TO USE, OR RELIANCE UPON THE SERVICE OR ANY MATERIALS, OPINIONS OR RECOMMENDATIONS AVAILABLE ON OR THROUGH THE SERVICE. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE DAMAGES ARISE FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL THEORY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE DISCLAIMERS AND LIMITATIONS MAY NOT APPLY TO YOU.
You will indemnify, defend and hold harmless DropIn, its affiliates, officers, directors, employees, consultants and agents from any claims, disputes, demands, liabilities, damages, losses and costs and expenses, including legal and accounting fees, arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party.
DropIn reserves the right to terminate your access to the Service at any time, for any reason, with or without notice. Upon termination, your right to access and use the Service will immediately cease. You may terminate these Terms at any time by discontinuing use of all parts of the Service.
Sections regarding Ownership, Warranty Disclaimers, Indemnity, Limitation of Liability, and Dispute Resolution will survive any termination of these Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict of law rules. Any dispute arising from the interpretation or application of these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and you hereby consent to personal jurisdiction and venue in those courts.
Modification and Severability
DropIn reserves the right to modify these Terms at any time, for any reason. Updated versions of these Terms will be provided via the Service.
If any provision of these Terms is invalid, illegal or unenforceable, the validity and enforceability of the remaining provisions will not be affected, and each remaining provision of these Terms will be valid and enforceable to the full extent permitted by law.
These Terms constitute the entire agreement between you and Dropin with respect to the subject matter, and supersede any and all prior or contemporaneous written and oral agreements, representations, warranties and understandings between the parties with respect to the subject matter.
You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign our rights and obligations under these Terms in our discretion.
